Prepare and disclose
The company prepares financial information, offering disclosures, and its public-company systems. A registration statement—often Form S-1 for a U.S. issuer—contains a prospectus and additional information. The prospectus describes the business, management, risks, and financial condition.
Review and revise
SEC staff review focuses on disclosure and accounting compliance. Comments may lead to explanations or amendments. Review does not determine investment quality or guarantee that disclosures are complete. A filing alone does not mean shares are already available for public purchase.
Offer, price, and trade
In a traditional IPO, investor demand helps inform the offering price and allocations. Public trading is a separate milestone. Treat announced dates as plans until the company confirms completion; do not turn a typical sequence into a promised calendar.
